These Platform Terms of Service (“Terms” or “ToS”) constitute a legally binding contract between MIAB Technology Private Limited, a company incorporated under the Companies Act, 2013 (CIN: U62012MH2026PTC470102), having its registered office at 14-L, 6th Floor, Navjivan Commercial Premises, Mumbai Central, Mumbai- 400008, Maharashtra, India (“Company”, “MiAB”, “We”, “Us”, or “Our”) and the legal entity, business, organization, sole proprietorship, or legal person registering for, accessing, or using the Platform (“Customer”, “User”, “You”, or “Your”).
MiAB operates an artificial intelligence-enabled Software-as-a-Service (SaaS) marketing automation platform available via miab.cc and its associated dashboards, APIs, software engines, mobile interfaces, and applications (collectively, the “Platform”). The Platform ingests website URLs, brand assets, and parameters supplied by You, executes automated web crawling and large language model (LLM) processing, and generates marketing assets, brand kits, text copy, image creatives, short-form synthetic video ads, and social media post schedules (collectively, “Generated Output”).
Incorporation of End-User Licence Agreement (EULA): Your access to, deployment of, and interaction with the Platform software, workflow engines, and underlying generation pipelines are governed by Our EULA, which is explicitly incorporated into these Terms by reference. In the event of any irreconcilable conflict between these Terms and the EULA, the terms of the EULA strictly govern software licences, intellectual property ownership, AI output allocations, crawling authorizations, disclaimer of AI accuracy, and liability caps. These Terms govern commercial billing, subscription management, and platform usage rules.
Checking an acceptance box, clicking “I Agree”, completing Account sign-up, submitting a website URL, or executing an Order Form constitutes a valid, legally binding electronic signature under the Indian Information Technology Act, 2000.
1.1 B2B Commercial Scope: The Platform is designed, built, and offered strictly for business-to-business (B2B) commercial operations, marketing, and brand promotion. It is not offered or intended for personal, family, household, or consumer use. You warrant that You are registering for and using the Platform solely for commercial business purposes.
1.2 Age Restriction & Minor Protection: The Platform is strictly prohibited to individuals under eighteen (18) years of age (or the age of legal majority in Your jurisdiction). We do not knowingly collect, scrape, process, or solicit the personal data of children. For these purposes, a child is an individual who has not completed eighteen (18) years of age, in accordance with Section 9 of the Indian Digital Personal Data Protection Act, 2023 (“DPDPA”). We do not undertake tracking or behavioural monitoring of children and do not direct advertising at children. If You become aware that an individual under 18 has created an Account or that personal data of a minor has been ingested through a submitted URL, You must notify Us immediately at privacy@miab.cc. We reserve the right to immediately terminate any Account and purge any data associated with a minor without liability.
2.1 Account Creation: To access the Platform, You must establish an administrative Account and create one or more Workspaces. You agree to provide true, accurate, current, and complete registration information and to maintain and update such information promptly.
2.2 Credential Safeguarding: You are solely responsible for maintaining the strict confidentiality of Your Account credentials, administrative passwords, and API integration keys. You are fully liable for all activities, API calls, URL submissions, credit consumptions, generations, and publication approvals occurring under Your Account or Workspaces, whether authorized by You or not.
2.3 Multi-Tenant Workspace Isolation: Workspaces are logically isolated multi-tenant environments assigned to manage assets, generations, workflows, and approvals for specific Customer brands. Base tier subscriptions permit workspace management solely for Your directly owned and operated brands. Operating Workspaces for third-party client brands, agency clients, or sub-licensed commercial entities requires an active Agency Tier subscription.
2.4 Unauthorized Access Notification: You must notify MiAB immediately upon discovering or suspecting any breach of security, credential compromise, or unauthorized use of Your Account or Workspaces. MiAB will not be liable for any loss, damage, or legal liability arising from Your failure to safeguard Your credentials.
3.1 Fee Governance: As set forth in Section 11 of the EULA, pricing, fees, subscription tiers, usage credits, and commercial billing schedules are strictly governed by these Terms, executed Order Forms, or the pricing documentation displayed on the Platform.
3.2 Base Packages & Pricing Tiers: Available subscription tiers, fees payable, usage credits, and permitted Workspaces are as published on the pricing page at miab.cc/pricing or as set out in an executed Order Form. Baseline package pricing covers standard feature sets and quotas; any customizations, bespoke pipelines, or additional credits requested are subject to separate, distinct pricing set exclusively at MiAB's discretion.
3.3 Taxes: All stated fees are exclusive of Goods and Services Tax (GST) and other statutory levies, which are charged in addition at the applicable rate. You are responsible for paying all statutory taxes, duties, or government assessments.
3.4 Terms & Policy Modifications: MiAB reserves the right to revise these Terms, the EULA, Privacy Policy, or pricing on not less than thirty (30) days’ prior notice via email or dashboard notice. Where a modification materially reduces Platform functionality or materially increases fees, You may terminate Your subscription before the effective date, and We will refund fees paid in respect of any unexpired period.
3.5 Minimum Subscription Term: Unless an executed Order Form provides otherwise, each subscription is for a minimum committed term of six (6) months commencing on the date of the first payment (“Minimum Term”) and thereafter continues on a rolling monthly basis. Fees for the Minimum Term are payable in full whether or not You use the Platform. If You cancel before expiry of the Minimum Term, the balance of fees for the unexpired portion becomes immediately due and payable.
3.6 Cancellation by You: After expiry of the Minimum Term, You may cancel Your subscription from the billing section of Your Account dashboard or by notice to billing@miab.cc not less than seven (7) days before the next renewal date. Cancellation takes effect from the end of the current billing cycle. No refund is payable for any unexpired part of a cycle.
3.7 Non-Refundability: Except as expressly provided herein or required by mandatory provisions of Applicable Law, all payment obligations are non-cancellable and all fees paid are non-refundable.
3.8 Payment Mandates: Recurring debits are processed through Our payment processor in accordance with the Reserve Bank of India (RBI) framework on recurring transactions, including pre-debit notifications and additional factor authentication where applicable.
4.1 Express Crawling Authorization: By submitting any URL to the Platform, You grant MiAB an explicit, royalty-free, worldwide authorization to crawl, read, index, scrape, parse, copy, extract, format, and process any page, asset, image, text, or file hosted under that domain for LLM context processing and media creation.
4.2 Domain Ownership Warranty: You represent, warrant, and covenant that:
- You own the target domain or hold explicit, documented legal authorization from the domain owner to submit the URL and authorize MiAB’s automated systems to crawl and extract its contents;
- Your submission of the URL and MiAB’s subsequent crawling does not violate the target website’s terms of service, robots.txt exclusions, copyright, trademark, trade secret, privacy rights, or contractual obligations;
- The submitted URL does not contain malicious code, malware, illegal content, or personal data collected without a valid legal basis.
4.3 Scraping Indemnity: You assume total legal and financial liability for any claims, lawsuits, administrative penalties, or third-party demands arising from MiAB’s crawling of URLs provided under Your Account, and agree to hold harmless and indemnify MiAB from any claims alleging unauthorized web scraping, trademark/copyright infringement, or proprietary asset extraction.
4.4 Voice, Persona & Style Features: Where You submit content authored by another person in order to use any voice-matching, persona-learning, or style-transfer feature, You represent and warrant that You hold that person’s informed, documented authorization to do so, and that resulting Generated Output will not mislead any person as to its authorship. You assume total legal and financial liability for any claims founded on personality rights, publicity rights, or misappropriation of persona.
You agree to use the Platform strictly in compliance with all Applicable Laws (including the Information Technology Act 2000, IT Rules 2021, DPDPA 2023, Consumer Protection Act 2019, and the ASCI Code). You shall not, directly or indirectly:
- Decompile, reverse engineer, disassemble, decrypt, extract, or attempt to derive the source code, underlying algorithms, neural network structures, video rendering mechanics, or prompt architectures of the Platform;
- Scrape, index, mirror, data-mine, or systematically collect Platform Content or outputs to build, train, fine-tune, or benchmark a competing machine learning model, LLM, or SaaS product;
- Bypass, disable, circumvent, or interfere with security features, credit limit tracking, usage caps, multi-tenant isolation protocols, or administrative access controls;
- Submit URLs, prompts, or assets, or generate or distribute materials that are libelous, defamatory, obscene, pornographic, sexually explicit, abusive, harassing, hateful, or inciting violence;
- Generate deceptive, fraudulent, or illegal commercial advertising, including false medical claims, unverified financial projections, deceptive deepfakes, impersonation of public officials, or consumer protection violations;
- Infringe, misappropriate, or violate the intellectual property, privacy, publicity, or statutory rights of any person or entity;
- Transmit spam, bulk unsolicited communications, phishing campaigns, or malicious software.
6.1 Third-Party AI Infrastructure: The Platform relies on integrations with third-party generative AI models, cloud compute clusters, and API providers (including AWS, Google Gemini, fal.ai, Remotion, Kling). MiAB does not control these third-party systems and is not responsible for their operational availability, latency, rate limits, or output variations. Data processed through these services is handled in accordance with Our Privacy Policy.
6.2 Third-Party Social Media Networks: As at the date of these Terms, direct social media publishing functionality is not enabled, and Generated Output is delivered for download and manual publication. If and when automated publishing interfaces are enabled:
- Your social media accounts remain governed entirely by the terms, API guidelines, and community standards of those respective networks (Meta, LinkedIn, X);
- MiAB has no control over and explicitly disclaims all liability for actions taken by third-party social networks, including content removal, ad rejection, reach throttling, shadowbanning, API revocation, or account suspension or termination.
7.1 Sole Human Review Responsibility: The Platform functions as an automated content generation tool. Pursuant to Sections 7 & 8 of the EULA, You retain sole, absolute legal obligation and responsibility to independently inspect, verify, fact-check, edit, and validate every piece of Generated Output prior to publishing, scheduling, broadcasting, or distributing it.
7.2 Legal Adoption on Distribution: When You (or an Authorized User) approve, download, schedule, or publish Generated Output, such action constitutes Your final legal adoption and representation that the content is accurate, non-infringing, lawful, and fully compliant with applicable advertising laws.
7.3 Advertising Standards Compliance: You are strictly responsible for ensuring that all published marketing materials comply with applicable standards, including:
- India: Consumer Protection Act 2019 (Prevention of Misleading Advertisements Guidelines), ASCI Code, FSSAI regulations (food), CDSCO guidelines (health), and SEBI guidelines (financial promotions);
- United States: Federal Trade Commission (FTC) Act and endorsement guides;
- European Union: Unfair Commercial Practices Directive (2005/29/EC) and Digital Services Act (DSA).
7.4 Synthetically Generated Information & Provenance: Video and image Generated Output constitutes synthetically generated information under the IT Rules 2021 (as amended February 2026). When publishing such content, You are solely responsible for declaring its synthetic origin on receiving platforms. MiAB embeds provenance metadata and persistent identifiers into video output; You shall not remove, suppress, alter, or obscure this metadata.
8.1 Scope: Where MiAB designates access to the Platform or any feature as beta, evaluation, or preview (“Beta Access”), this Clause applies in priority over other Terms. Beta Access is provided free or at a discount, and may be modified, suspended, or withdrawn by MiAB at any time without liability.
8.2 “As Is” Status: Beta features are provided strictly on an “as is” basis and are excluded from any availability target or service level commitments.
8.3 Feedback & Conversion: You grant MiAB a perpetual, irrevocable, royalty-free licence to use feedback and suggestions provided during Beta Access. Nothing obliges You to convert to a paid subscription at the end of the beta period, and MiAB will provide not less than thirty (30) days’ notice before Beta Access ends.
8.4 Marketing Use Consent: MiAB shall not use Your name, logo, or case study in its marketing or investor materials except with Your separate written consent.
To the maximum extent permitted by Applicable Law, You agree to defend, indemnify, and hold harmless MiAB, its parent company, subsidiaries, affiliates, and their respective directors, officers, founders, employees, and licensors from and against any and all claims, suits, liabilities, damages, regulatory fines, and legal expenses arising out of:
- Your breach of these Terms or the incorporated EULA;
- Customer Content, logos, product listings, or URLs submitted to the Platform;
- MiAB’s automated crawling, indexing, or processing of websites or assets submitted by You;
- Your or Your Authorized Users’ use, publication, distribution, or advertising of Generated Output;
- Any claim that content generated, approved, or published by You constitutes trademark/copyright infringement, false advertising, defamation, violation of publicity/personality rights, or consumer protection violations;
- Your failure to conduct pre-publication human review of Generated Output; or
- Violations of Applicable Law or third-party rights by You or Your users.
THE PLATFORM, PLATFORM CONTENT, GENERATED OUTPUT, CRAWLING ENGINES, AND ALL ASSOCIATED SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. MIAB EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, ABSENCE OF HALLUCINATIONS, ORIGINALITY, OR QUIET ENJOYMENT.
IN NO EVENT SHALL MIAB OR ITS DIRECTORS, FOUNDERS, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR REPUTATIONAL DAMAGE.
Liability Cap: Notwithstanding anything to the contrary, MiAB’s total aggregate liability to You for all claims arising out of or relating to the Platform or Generated Output shall be strictly limited to and shall not exceed the total amount of subscription fees actually paid by You to MiAB in the twelve (12) months immediately preceding the event giving rise to liability.
Availability Target: MiAB targets, but does not warrant, Platform availability of 99.5% measured monthly, excluding scheduled maintenance, third-party service failures, and force majeure events.

11.3 Post-Termination Data Retention: Customer Content and Workspace data will be retained in a read-only state for thirty (30) days post-termination, after which MiAB reserves the right to permanently purge all assets and generation logs without liability.
11.4 Survival: Provisions regarding Billing Liabilities (Clause 3), Crawling Indemnity (4.3), Voice/Persona (4.4), Content Approval (7), Indemnification (9), Disclaimers & Liability Caps (10), Governing Law (12), and Miscellaneous (13) survive termination.
12.1 Governing Law: These Terms, the EULA, and any disputes arising out of them shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
12.2 Informal Negotiations: In the event of any dispute, the parties shall first attempt in good faith to resolve the matter through informal executive negotiations within thirty (30) calendar days of written notice.
12.3 Exclusive Jurisdiction: Subject to informal negotiations, the competent courts located in Mumbai, Maharashtra, India shall have exclusive jurisdiction to hear and determine any action arising out of or in connection with these Terms, the EULA, or the Platform.
